Oyabite and Oyabite Chef iOS Applications

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or the "User") and Oyabite ("Oyabite", "we", "us", or "our") governing your use of the Oyabite mobile applications for iOS, including the customer app "Oyabite" and the chef app "Oyabite Chef" (each, together with all updates and documentation, the "Application").
By downloading, installing, or using the Application, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Application.
This Agreement is entered into between you and Oyabite only, and not with Apple Inc. ("Apple"). Oyabite, not Apple, is solely responsible for the Application and its content. Apple's standard Licensed Application End User License Agreement (available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/) also applies to your use of the Application. To the extent this Agreement conflicts with Apple's standard EULA, the terms that are more protective of you as a consumer will govern with respect to the Apple-required provisions, and otherwise this Agreement controls.
1. About Oyabite and Payments
Oyabite is a marketplace that connects customers with verified home chefs who prepare and sell real, home-cooked meals. Customers discover dishes, place orders, coordinate delivery, chat with chefs, and leave ratings. Chefs onboard and get verified, manage a menu, receive and fulfil orders, and complete safety check-ins.
Oyabite does not process payments and does not use Apple In-App Purchase. All payments for food and delivery are made by customers directly to chefs for physical, real-world goods and services (for example by bank transfer, CashApp, or Zelle). Because the Application is used to buy physical goods and services that are consumed outside the Application, Apple In-App Purchase is not required under App Store Review Guidelines 3.1.3(e) and 3.1.5. Oyabite only records and facilitates orders. Oyabite charges chefs a 1% "space bill", which is billed to chefs monthly outside the Application. Oyabite is not a party to the sale between a customer and a chef, and is not responsible for the food, its preparation, delivery, or payment between those parties, except as required by law.
2. License Grant and Scope
Oyabite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on any Apple-branded product that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the Application may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing, where enabled.
The Application is licensed to you, not sold. You obtain no ownership rights in the Application. This license covers only your personal, lawful use of the Application in connection with the Oyabite service.
3. License Restrictions
You agree that you will not, and will not permit anyone else to:
- copy the Application, except as expressly permitted by this license;
- modify, translate, adapt, or create derivative works of the Application;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application, except to the extent this restriction is prohibited by applicable law;
- rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Application;
- remove, alter, or obscure any proprietary notices on the Application;
- use the Application to violate any law, to harm or defraud any person, or to interfere with or disrupt the Application or its servers; or
- use the Application other than on an Apple-branded product that you own or control.
4. Maintenance and Support
Oyabite is solely responsible for providing any maintenance and support services for the Application, as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Application.

5. Warranty
Oyabite provides the Application "as is" and "as available" to the fullest extent permitted by applicable law, and Oyabite disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not permitted by law.
In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the Application to you, if any. The Application is provided free of charge, so no purchase price is available to be refunded. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure of the Application to conform to any warranty will be the sole responsibility of Oyabite, to the extent such claims cannot be disclaimed under applicable law.
6. Product Claims
Oyabite, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and use of the Application, including but not limited to: (a) product liability claims; (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Oyabite's liability to you beyond what is permitted by applicable law.
7. Intellectual Property
Oyabite and its licensors own all right, title, and interest in and to the Application, including all related intellectual property rights, such as software, designs, text, graphics, logos, and the "Oyabite" and "Oyabite Chef" names and marks. All rights not expressly granted to you in this Agreement are reserved by Oyabite and its licensors.
In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Oyabite, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim, to the extent required by applicable law.
You retain ownership of the content you submit through the Application (for example, photos, reviews, and menu items). By submitting content, you grant Oyabite a worldwide, non-exclusive, royalty-free license to host, store, display, and use that content as needed to operate and promote the Oyabite service. 8. Legal Compliance and Export
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
You agree to comply with all applicable laws and regulations, including all local laws where you live and use the Application, and all applicable export control and sanctions laws, in your use of the Application.
9. Third-Party Terms and Services
You agree to comply with any applicable third-party terms of agreement when using the Application (for example, your wireless data service agreement). Oyabite is not responsible for goods, services, or content provided by third parties, including the payment methods you use to pay chefs directly.
10. Third-Party Beneficiary
Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of this Agreement.
11. Termination
This Agreement is effective until terminated by you or Oyabite. Your rights under this Agreement will terminate automatically, without notice, if you fail to comply with any of its terms. Upon termination, you must stop all use of the Application and delete all copies. Sections that by their nature should survive termination will survive, including intellectual property, warranty disclaimers, product claims, limitation of liability, and the third-party beneficiary provision.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Oyabite be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of, or inability to use, the Application. Nothing in this Agreement limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of Lagos State, Nigeria, without regard to its conflict of law provisions, except where mandatory consumer protection laws of your country of residence apply. Any disputes will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, subject to any mandatory rights you have as a consumer.
14. Changes to this Agreement
Oyabite may update this Agreement from time to time. If we make material changes, we will provide reasonable notice, for example through the Application or by email. Your continued use of the Application after the changes take effect means you accept the updated Agreement.
